On the consolidation of retail energy assets of the Gazprom Group and the SIBUR Holding

Moscow, June 8, 2010. As part of the consolidation of the retail energy assets of the Gazprom Group and the SIBUR Holding, the exchange of shares of these two respective companies took place. As a result, the SIBUR Holding obtained 7% of the shares in «Mezhregionenergosbyt» OSCJ by way of «Siburenergomanagement» OSJC. In turn, Mezhregionenergosbyt became the owner of 51.57% of the shares in Siburenergomanagement. In addition, SIBUR remains the owner of a 48.43% stake in Siburenergomanagement via «Voronezhsintezkauchuk» OJSC and SIBUR is currently facilitating the operational management of the company.

The consolidation of the aforementioned retail energy assets will increase the degree of economic efficiency and stability in terms of supplying energy to enterprises affiliated with the Gazprom Group and with SIBUR.

The Mezhregionenergosbyt OJSC was established in 2006 as a subsidiary of Mezhregiongaz (a 100% subsidiary of Gazprom). Today, it is one of the largest energy traders in Russia. In accordance with Gazprom’s Strategy in the electric power sector, the Company’s main task is to optimise the sales of electricity companies that are affiliated with the Gazprom Group. The largest subsidiaries of Mezhregionenergosbyt are the Tyumen Energy Retail Company and the energy trading company Fortis Energy (Lithuania). The consolidated volume of energy trading in 2009 exceeded 80 billion kWh per hour.

SIBUR buys electricity on the wholesale and retail electricity markets through the corporate energy supply company Siburenergomanagement, as well as through Mezhregionenergosbyt. In 2009, the total volume of electricity consumed by enterprises affiliated with the SIBUR Holding exceeded 8.9 billion kWh.
